Welcome to The Vouch Metric, LLC ("The Vouch Metric," "we," "us," or "our"). This Policy Page governs your access to and use of our website, services, software-supported solutions, communications, subscription plans, and optional add-on services.
By visiting thevouchmetric.com, purchasing a service, creating an account, submitting information, or otherwise using our services, you acknowledge that you have read, understood, and agreed to these policies.
If you do not agree, please do not use our website or services.

1. DESCRIPTION OF SERVICES

The Vouch Metric provides reputation, visibility, customer engagement, and business growth services for local businesses. Depending on the plan or service purchased, these services may include:
• Automated customer follow-up through email and SMS
• Customer feedback and review-request campaigns
• Surveys and feedback collection
• Customer segmentation, tagging, and re-engagement
• Referral-request campaigns
• Seasonal and customer-reactivation campaigns
• Reputation monitoring and performance reporting
• Customer relationship management workflows
• Influencer partnership campaigns
• Custom website design or related digital services
• Optional add-on services, which may be subject to separate pricing and terms
• Other services described in a proposal, order form, or service agreement
Specific features, service limits, delivery timelines, and pricing depend on the plan, campaign, or project selected by the client.
Consultations and demos. Free consultations, reputation reviews, and demos (including "Book Your Reputation Review" and "Book a Demo" sessions) are informational only. They do not constitute a service agreement, a commitment to purchase, or a guarantee of any result. A binding service relationship begins only when a subscription is purchased, an order form is signed, or a proposal is accepted in writing.
We may use third-party platforms, including customer relationship management, messaging, payment-processing, analytics, social media, and automation providers, to deliver these services.

2. ELIGIBILITY AND AUTHORITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.
If you purchase services on behalf of a business or other organization, you represent that you have authority to bind that organization to these policies and any related service agreement.

3. INTELLECTUAL PROPERTY RIGHTS

The Vouch Metric and its licensors own all rights to the website and its original content, branding, logos, graphics, designs, processes, templates, training materials, written materials, software configurations, The M.E.T.R.I.C. Method™ and all related marks, names, and methodologies, and other intellectual property.
Except with our prior written permission, you may not:
• Copy, republish, reproduce, sell, rent, sublicense, or redistribute our materials.
• Modify or create derivative works from our proprietary materials.
• Remove copyright, trademark, or ownership notices.
• Reverse-engineer or attempt to extract proprietary systems or processes.
• Use our branding, methodology names, or materials in a manner that suggests an unauthorized affiliation.
Clients retain ownership of materials they provide to us, including their logos, photographs, customer information, and original business content. By providing such materials, the client grants us a limited license to use them as necessary to perform the purchased services.
Unless otherwise stated in a written agreement, custom deliverables become available for the client's business use after all applicable balances have been paid. The Vouch Metric retains ownership of its pre-existing templates, systems, workflows, methods, and reusable components.

4. USER ACCOUNTS AND CLIENT RESPONSIBILITIES

You are responsible for:
• Providing accurate and current business information
• Protecting usernames, passwords, and account credentials
• Restricting unauthorized access to your account
• Promptly notifying us of suspected unauthorized activity
• Obtaining the necessary rights and permissions for information supplied to us
• Reviewing and approving campaigns, content, or deliverables when requested
• Maintaining accurate customer consent and contact records
• Following all applicable laws and third-party platform policies
You may not share access in a way that compromises account security or permits unauthorized use.
We may suspend or terminate an account that violates these policies, creates a legal or security risk, interferes with our services, or remains unpaid.

5. ACCEPTABLE USE

You agree to use our website and services lawfully, honestly, and ethically.
You may not use our services to:
• Send unlawful, deceptive, threatening, abusive, or discriminatory communications.
• Contact individuals without the consent required by applicable law.
• Upload malware or interfere with our systems.
• Impersonate another person or business.
• Obtain or publish fake reviews.
• Require customers or influencers to submit only positive feedback.
• Discourage, suppress, or improperly remove legitimate negative feedback.
• Misrepresent endorsements, results, customer relationships, or social-media influence.
• Purchase fake followers, views, likes, comments, or other engagement.
• Violate the policies of Google, Yelp, Meta, or another third-party platform.
• Engage in fraud or any activity that may harm The Vouch Metric, its clients, or the public.
We reserve the right to refuse, suspend, or discontinue services connected with prohibited conduct.

6. SUBSCRIPTION PLANS, SETUP FEES AND BILLING

Recurring subscriptions
Certain Vouch Metric services are sold as recurring monthly or annual subscriptions. By purchasing a subscription, you authorize our payment processor and us to charge the payment method on file at the beginning of each billing cycle until the subscription is properly canceled.
Unless a written agreement says otherwise, monthly subscriptions renew automatically on a month-to-month basis. Annual subscriptions renew automatically on a twelve-month basis.
Setup and onboarding fees
Plans may require a separate setup or onboarding fee. Setup fees compensate The Vouch Metric for account configuration, workflow development, integrations, campaign preparation, and related onboarding work.
Setup and onboarding fees are non-refundable once onboarding or configuration work begins.
Free Trial
When a Free Trial is offered, eligible new subscribers may access certain Vouch Metric subscription plan features for a period of seven (7) calendar days at no charge ("Free Trial").
Eligibility. Free Trials are available to new clients only. A client or business that has previously purchased a subscription, participated in a prior trial, or otherwise had a paid or trial relationship with The Vouch Metric does not qualify. We reserve the right to determine eligibility in our sole discretion.
Payment method required. A valid payment method is required to start a Free Trial. By entering your payment information, you authorize The Vouch Metric to charge the applicable subscription fee automatically when the Free Trial period ends, unless you cancel before the trial expires.
Conversion to paid subscription. If you do not cancel before the end of the seven-day trial period, your subscription will automatically convert to a paid subscription at the then-current plan price. This constitutes an automatic renewal as described under the Virginia Automatic Renewal Law. You will receive a reminder of this conversion as required by applicable law.
Cancellation during the Free Trial. To avoid being charged, you must cancel your trial at least twenty-four (24) hours before the trial period ends by emailing [email protected] with your business name, account email, and a statement that you wish to cancel. A cancellation is not complete until The Vouch Metric confirms receipt.
Trial limitations. Free Trial access may be limited in scope, features, or usage. Certain services, including custom projects, influencer campaigns, add-on services, and one-time deliverables, may not be available during the trial period. Monthly plan credits included with paid plans may not be available or may be reduced during a Free Trial. We may modify, suspend, or discontinue Free Trial offers at any time without notice.
One trial per client. Only one Free Trial is permitted per client, business, email address, or payment method. Creating duplicate accounts or using different contact information to obtain additional trials is a violation of these policies and may result in immediate account suspension.
Pricing and plan changes
The price and features applicable to your service will be shown at checkout, in a proposal, on an order form, or in a separate agreement.
We may modify future pricing or plan features. Clients will receive notice of a material change before it takes effect when required by law. Continued use after the effective date of a properly disclosed change constitutes acceptance of the revised terms.
Upgrades may take effect immediately and may result in a prorated charge. Unless we agree otherwise in writing, downgrades take effect in the next eligible billing cycle and do not result in a refund or credit.
Failed payments
If a payment fails, we may retry the payment method, request an updated payment method, pause campaigns, restrict account access, or suspend services until the outstanding balance is paid.
The client remains responsible for all authorized charges and outstanding balances.
Monthly plan credits
Certain subscription plans include a monthly credit that may be applied toward eligible platform or messaging costs as described at checkout or in the applicable plan details. Credits are non-transferable, have no cash value, do not roll over to subsequent billing periods, and expire at the end of each billing cycle in which they are issued. Credits are not available during a Free Trial period and are not refundable or convertible to cash upon cancellation or suspension of service.
Add-on services
Optional add-on services may be available for purchase separately from subscription plans. Add-ons are subject to their own pricing, terms, and availability as described at checkout, in a proposal, or in a separate agreement. Add-on fees are generally non-refundable once the related work or access has begun.
Taxes and third-party costs
Prices may not include applicable taxes or separately disclosed third-party expenses. Advertising costs, influencer compensation, complimentary products or services, travel expenses, platform fees, gift cards, or other campaign expenses are not included unless expressly stated in writing.

7. REFUND AND CANCELLATION POLICY

Free Trial cancellation
If you are currently within your seven-day Free Trial period and wish to cancel, no charge will be applied provided cancellation is confirmed by The Vouch Metric at least twenty-four (24) hours before the trial period expires.
To cancel your trial, submit a written request to [email protected] including your business name, account email, and a statement that you wish to cancel the trial. A cancellation is not complete until The Vouch Metric confirms receipt.
After the trial period ends. If the trial converts to a paid subscription because a timely cancellation was not received, the resulting subscription payment is non-refundable in accordance with the "Non-refundable payments" section below. No exception, prorated refund, or credit will be issued solely because a client forgot to cancel, was unaware the trial was ending, or changed their mind after conversion.
Setup fees during a trial. If a setup or onboarding fee was charged in connection with a Free Trial offer, that fee remains non-refundable once onboarding or configuration work has begun, regardless of whether the trial is canceled before conversion.
Non-refundable payments
Except where required by law or expressly stated in a written agreement, the following payments are non-refundable:
• Subscription payments
• Renewal payments
• Setup and onboarding fees after work begins
• Completed or partially completed custom work
• Influencer campaign fees after campaign work begins
• Third-party expenses and processing fees
• Fees for services already performed or resources already reserved
• Add-on service fees once the related work or access has begun
We do not provide prorated refunds or credits for partial billing cycles, unused features, delayed client approvals, failure to provide required access, or a client's decision not to use available services.
Subscription cancellation
Clients must submit a cancellation request at least 14 calendar days before their next scheduled billing date to prevent the next renewal charge.
Cancellation requests must be submitted in writing to:
The request should include the client's business name, account email, and requested cancellation date.
A cancellation is not complete until The Vouch Metric confirms receipt. If a request is received fewer than 14 calendar days before the next billing date, the upcoming renewal may still be processed, and cancellation will take effect at the end of that billing period.
Access to paid services will generally continue through the paid billing period. No partial refund will be issued for remaining time.
Annual subscriptions. Clients who cancel an annual subscription plan mid-term will retain access through the end of the current paid annual period. Annual subscription fees are non-refundable once the billing period has begun. No prorated refund will be issued for the unused portion of an annual term, unless otherwise required by applicable law.
Custom projects and one-time campaigns
Custom website projects, influencer campaigns, and other one-time services may have project-specific cancellation terms stated in the proposal, invoice, order form, or service agreement.
If a one-time service is canceled after work has begun, the client remains responsible for work performed, resources committed, non-cancellable reservations, and third-party expenses incurred through the cancellation date.
Cancellation or suspension by The Vouch Metric
We may suspend or terminate service for:
• Nonpayment
• Fraudulent or unlawful activity
• Abuse of our staff, systems, partners, or influencers
• Unauthorized or noncompliant messaging
• Fake-review activity or review manipulation
• Material violation of these policies
• Conduct that exposes The Vouch Metric or another party to legal, reputational, or security risk
Termination for a policy violation does not automatically entitle the client to a refund.

8. SERVICE DELIVERY AND CLIENT COOPERATION

Timelines are estimates unless a deadline is expressly guaranteed in a signed written agreement.
The client agrees to provide timely:
• Account access and platform permissions
• Business details and branding materials
• Customer-contact information
• Campaign approvals
• Review-platform links
• Required legal disclosures or consent records
• Feedback on drafts and deliverables
Delays caused by missing access, materials, approvals, or responses may extend the delivery schedule. Such delays do not create a right to a refund.
The client is responsible for reviewing materials for factual accuracy before publication or activation.

9. REVIEW AUTHENTICITY AND ETHICAL PRACTICES
─────────────────────────────────────────
Honest, firsthand feedback
The Vouch Metric supports authentic customer feedback. Reviews must reflect a person's genuine, firsthand experience with the business, product, or service being reviewed.
Fake, fabricated, purchased, misleading, or AI-generated reviews presented as genuine customer experiences are prohibited.
No guaranteed positive reviews
The Vouch Metric does not guarantee:
• A particular star rating
• A specific number of reviews
• Positive customer sentiment
• Review publication or retention
• Improved search-engine rankings
• Increased sales, revenue, or customer traffic
Clients may not condition compensation, discounts, gifts, refunds, or other benefits on a reviewer providing positive feedback.
Free Trial and review requests
Free Trial participants may be invited to submit feedback about their experience with The Vouch Metric's services. Any such request is entirely optional.
Continuation of a Free Trial, conversion to a paid subscription, or access to any feature, benefit, or discount is never conditioned on a trial participant submitting a review, providing a positive rating, or expressing any particular opinion about The Vouch Metric.
Any review or testimonial submitted by a Free Trial participant must reflect that person's genuine, firsthand experience. Trial participants who received services at no charge must clearly disclose that material connection when publishing a review or testimonial on a third-party platform, in accordance with applicable FTC guidance and the policies of the relevant platform.
Equal opportunity to provide feedback
Clients may collect private customer feedback, but they may not use The Vouch Metric's services to prevent dissatisfied customers from expressing honest opinions or to interfere with lawful reviews.
Review requests and feedback processes must comply with applicable laws and the policies of each review platform.
Review moderation and removal
The Vouch Metric does not control third-party review platforms and cannot guarantee that a review will be published, edited, retained, or removed.
We may remove content from systems we control when it is fraudulent, abusive, unlawful, unrelated, contains protected personal information, or violates these policies. We will not remove or suppress an honest review solely because it is negative.
Reporting suspected abuse
Suspected fake reviews, deceptive endorsements, or review manipulation may be reported to [email protected].
The FTC's Consumer Reviews and Testimonials Rule prohibits purchasing fake reviews, conditioning incentives on positive sentiment, and certain forms of review suppression.

10. INFLUENCER PARTNERSHIP CAMPAIGNS
─────────────────────────────────────────
The Vouch Metric may connect participating influencers and content creators with local businesses for one-time marketing partnerships.
Campaign process
Depending on the agreed campaign terms, an influencer may be asked to:
• Visit or experience a participating business.
• Evaluate the business based on a genuine, firsthand experience.
• Create a social-media post, video, story, or other agreed content.
• Submit draft content for review before publication.
• Publish approved content by the agreed deadline.
• Keep qualifying feed content publicly available for at least 30 days.
• Provide publication links, screenshots, analytics, or receipts when required.
Honest opinions
Influencers must provide honest opinions and may not make claims they know are false or misleading. Neither The Vouch Metric nor the participating business may require an influencer to express positive opinions as a condition of payment.
Business review of draft content is limited to checking factual accuracy, confidential information, agreed deliverables, brand-safety requirements, and legal compliance. Draft approval may not be used to force a positive endorsement or conceal a genuine negative experience.
If the parties cannot agree on compliant content, the campaign may be canceled or handled according to the applicable campaign agreement.
Sponsorship disclosures
Influencers must clearly and conspicuously disclose any material connection with the business or The Vouch Metric, including payment, complimentary products or services, discounts, gift cards, or other benefits.
Disclosures must comply with applicable law and platform rules and should be placed where viewers can easily notice and understand them.
Compensation and campaign expenses
Influencer fees, business charges, complimentary services, gift cards, reimbursements, and campaign expenses will be defined in the applicable proposal or campaign agreement.
Compensation is for the influencer's time, content creation, agreed usage rights, and campaign deliverables — not for a positive opinion or a specific star rating.
Content availability
Influencers must keep applicable content live for the agreed campaign period, which will ordinarily be at least 30 days. Content may be removed sooner when required by law, platform action, safety concerns, or written authorization.
No performance guarantee
The Vouch Metric does not guarantee impressions, views, engagement, followers, conversions, sales, or other campaign results.

11. SMS, EMAIL AND COMMUNICATION CONSENT
─────────────────────────────────────────
When you provide a phone number or email address and give the required consent, you authorize The Vouch Metric to send communications related to:
• Account setup and support
• Appointments and service notifications
• Customer feedback or review requests
• Billing and administrative matters
• Promotions and marketing, when separately authorized
• Influencer opportunities and campaign updates
Message frequency varies. Message and data rates may apply.
Consent to receive promotional messages is not a condition of purchasing services unless the communication is necessary to deliver the requested service.
You may opt out of marketing text messages by replying STOP. You may request help by replying HELP or contacting [email protected]. You may also unsubscribe from marketing emails using the link provided in the message.
Opting out of marketing communications does not prevent us from sending essential transactional, legal, security, or account-related notices where permitted by law.
The FCC permits consumers to revoke consent to covered automated calls or texts through reasonable means.
Client contact lists
Clients using our services to contact their customers represent and warrant that:
• They lawfully obtained the customer information.
• They have all consent required for the intended messages.
• Their contact lists are accurate and not unlawfully purchased.
• They will honor opt-out, revocation, and do-not-contact requests.
• They will comply with the Telephone Consumer Protection Act, CAN-SPAM Act, and other applicable laws.
The client is responsible for the legality of its customer lists, offers, claims, and instructions.

12. PRIVACY POLICY

Information we collect
We may collect:
• Names, business names, mailing addresses, email addresses, and phone numbers
• Account credentials and profile information
• Billing, transaction, and subscription information
• Business, campaign, survey, and customer-service information
• Customer-contact data submitted by clients
• Influencer profiles, social-media information, analytics, deliverables, and payment details
• Website usage, device, browser, log, cookie, and approximate-location information
• Communications sent to us and responses to surveys or forms
Payment-card information may be processed directly by a third-party payment provider. We may not retain complete payment-card details.
Free Trial accounts
Information collected from clients during a Free Trial is subject to this Privacy Policy in the same manner as information collected from paid subscribers. If a trial is not converted to a paid subscription, we may retain your information for the period reasonably necessary to comply with legal obligations, prevent fraud, resolve disputes, and maintain business records, after which it will be deleted or anonymized in accordance with our standard data-retention practices.
We do not sell or share trial account information for third-party marketing purposes. Payment method information provided to initiate a Free Trial is processed by our third-party payment provider and is subject to that provider's applicable privacy and security terms.
How we use information
We may use information to:
• Operate, provide, and improve our services.
• Create and maintain accounts.
• Process payments and subscriptions.
• Deliver customer outreach and review-request campaigns.
• Match businesses with influencers.
• Communicate information on service, billing, support, and marketing.

How we share information
We do not sell personal information for money.
We may share information with:

• Clients, influencers, or campaign participants when necessary to perform an agreed service.
• Professional advisers, insurers, auditors, or legal representatives.
• Government agencies or other parties when legally required.
• A successor in connection with a merger, acquisition, financing, reorganization, or sale of business assets.
Providers are permitted to process information only for authorized business purposes, subject to applicable agreements and law.
Client-provided customer data
When a client provides customer information for outreach, The Vouch Metric generally processes that information on the client's behalf. The client is responsible for providing any required privacy notices and establishing a lawful basis for collecting and using the information.
Cookies and analytics
We may use cookies, pixels, and similar technologies to maintain website functionality, remember preferences, understand usage, and measure marketing performance.
Your browser settings may allow you to block certain cookies, though doing so can affect website functionality.
Data retention
We retain information only for as long as reasonably necessary to provide services, meet contractual obligations, resolve disputes, maintain records, prevent fraud, and comply with legal requirements.
Data security
We use reasonable administrative, technical, and organizational safeguards designed to protect information. However, no system, storage method, or internet transmission is completely secure, and we cannot guarantee absolute security.
Your privacy choices
Subject to applicable law, you may request to access, correct, or delete certain personal information by emailing [email protected].
We may need to verify your identity before processing a request. Some information may be retained when necessary for legal, security, accounting, contractual, or fraud-prevention purposes.
Children's privacy

14. DISCLAIMERS

Our services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.
We do not guarantee uninterrupted or error-free operation, specific marketing results, review volume, ratings, search placement, revenue, customer acquisition, or influencer-campaign performance.
Reports, analytics, recommendations, and projections are provided for informational purposes and should not be treated as legal, financial, tax, or guaranteed business advice.

15. LIMITATION OF LIABILITY
─────────────────────────────────────────
To the fullest extent permitted by law, The Vouch Metric and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, revenue, data, goodwill, customers, or business opportunities.
To the fullest extent permitted by law, our total liability arising from a claim will not exceed the amount the claimant paid directly to The Vouch Metric for the service giving rise to the claim during the three months immediately preceding the event.
Nothing in this section excludes liability that cannot lawfully be limited or excluded.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The Vouch Metric and its owners, employees, contractors, affiliates, and service providers from claims, losses, liabilities, penalties, damages, and reasonable expenses arising from:
• Your misuse of the services
• Your violation of these policies or applicable law
• Your customer lists, content, instructions, products, or business practices
• Your failure to obtain legally required consent
• Your infringement of another party's rights
• Fake reviews, deceptive claims, or undisclosed endorsements attributable to you
• Disputes between a participating business and an influencer caused by your conduct
This obligation applies only to the extent permitted by law.

17. SERVICE INTERRUPTIONS AND FORCE MAJEURE

We are not responsible for delays or failures caused by events outside our reasonable control, including internet or platform outages, acts of government, labor disputes, natural disasters, utility failures, cyberattacks, public emergencies, or changes made by third-party providers.
We will make reasonable efforts to restore affected services, but such interruptions do not automatically create a right to a refund.

18. CHANGES TO THESE POLICIES

We may update these policies to reflect changes in our services, business practices, technology, or legal obligations.
The updated version will be posted with a revised effective date. When required by law, we will provide advance notice of any material change and information on how to cancel any affected recurring service.
Virginia law requires certain automatic-renewal terms and cancellation instructions to be clearly disclosed and retained by the customer.

19. GOVERNING LAW

These policies are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
Any legal action relating to these policies or our services must be brought in a court of competent jurisdiction located in Virginia, unless applicable law requires otherwise.

20. SEVERABILITY AND ENTIRE AGREEMENT

If any provision is found unenforceable, the remaining provisions will continue in effect.
These policies, together with the applicable proposal, order form, invoice, campaign terms, and signed service agreement, form the agreement between the client and The Vouch Metric concerning the applicable services.
If a signed agreement expressly conflicts with this Policy Page, the signed agreement controls for that specific service.
